مرمى أريناشروط التجار
1. الأطراف
«مرمى» منصة إلكترونية تشغّلها شركة تكامل البيانات للتقنية المالية (DIFins.co)، سجل تجاري 1009169104، وتتيح للتاجر عرض خدماته ومنتجاته وتلقي المدفوعات من العملاء داخل التطبيق. «التاجر» هو المنشأة المعتمدة عبر طلب الانضمام. هذه الشروط مكمّلة لـشروط الاستخدام وسياسة الخصوصية.
2. الأهلية والتحقق
- يلزم سجل تجاري قائم يشمل النشاط (أو وثيقة عمل حر سارية للمتاجر فقط)، وحساب بنكي باسم المنشأة نفسها.
- الملاعب والأكاديميات: ترخيص ساري من وزارة الرياضة وفق نظام الرياضة الصادر بالمرسوم الملكي رقم (م/121) النافذ منذ 11 يونيو 2026، ورخصة بلدي للملاعب. يجوز خلال المهلة النظامية لتصحيح الأوضاع اعتماد التاجر اعتماداً مشروطاً إلى التاريخ المعلن في التطبيق، ويتوقف الحساب تلقائياً إن لم يُرفع الترخيص قبله.
- يراجع فريق «مرمى» البيانات والوثائق ويتحقق منها لدى الجهات الرسمية، وله قبول الطلب أو طلب تعديله أو رفضه مع بيان السبب.
- يقرّ التاجر بصحة ما يقدّمه، ويلتزم بإبلاغ «مرمى» خلال 7 أيام بأي تغيير أو انتهاء أو إيقاف لأي ترخيص.
3. المدفوعات والعمولة
- تتم المدفوعات عبر ميسّر، بوابة الدفع المرخّصة من البنك المركزي السعودي، وتُقسَّم لحظة الدفع: حصة التاجر تُسوّى مباشرة إلى حسابه، وعمولة «مرمى» إلى «مرمى». «مرمى» لا يحتفظ بأموال التاجر.
- عمولة «مرمى» نسبة من قيمة كل عملية تُحدَّد عند الاعتماد (الافتراضي 5%)، وتشمل ضريبة القيمة المضافة حيث تنطبق، ويُصدر «مرمى» عنها فاتورة إلكترونية.
- في طلبات المتاجر يدفع العميل رسوم الشحن، وتذهب إلى «مرمى» لتغطية شركة الشحن (OTO). الدفع مسبق فقط، ولا يوجد دفع عند الاستلام.
- يلتزم التاجر بشروط ميسّر للمنصات، ويوافق على مشاركة بياناته ووثائقه معها للتحقق وفتح حساب التسوية. مواعيد التسوية ورسوم البوابة وفق اتفاقية ميسّر.
- عند الاسترداد تُسترد حصة التاجر والعمولة بنسبتهما ما لم يُتفق على غير ذلك.
4. التزامات التاجر
- تقديم الخدمة أو المنتج كما وُصف، وبالسعر المعلن شاملاً الضريبة.
- الملاعب والأكاديميات: الالتزام بنظام الرياضة ولوائح وزارة الرياضة لتشغيل المنشآت، ومنها اشتراطات السلامة والإسعافات الأولية وكاميرات المراقبة، وعدم تشغيل مدربين غير مرخّصين.
- الأكاديميات: عدم تسجيل من هم دون 18 سنة إلا بموافقة كتابية من وليّ الأمر، وتطبيق سياسة لحماية القاصرين والتحقق من خلو سجل العاملين معهم.
- المتاجر: بيع منتجات أصلية، وعدم بيع منتجات مقلّدة أو تحمل علامات أو شعارات أندية دون ترخيص، وعدم بيع مكملات غذائية أو منتجات طبية غير مسجلة لدى الهيئة العامة للغذاء والدواء، واحترام حق العميل في الإرجاع خلال 7 أيام من الاستلام وفق نظام التجارة الإلكترونية، عدا المستثنى نظاماً.
- استخدام بيانات العملاء لتنفيذ طلباتهم فقط، وحمايتها وفق نظام حماية البيانات الشخصية، وإبلاغ «مرمى» فوراً بأي تسرّب.
- الرد على شكاوى العملاء ومعالجتها خلال مدة معقولة.
5. ما يظهر للعملاء
وفق نظام التجارة الإلكترونية يظهر في صفحة التاجر: اسمه الرسمي ورقمه الوطني الموحد (أو رقم وثيقة العمل الحر) ورقمه الضريبي ورقم توثيق المتجر الإلكتروني إن وُجد، وسياسة الإرجاع. ولا تظهر بيانات المفوّض أو الحساب البنكي.
6. الإيقاف والإنهاء
- يُوقف الحساب تلقائياً عند انتهاء أي ترخيص مطلوب أو انتهاء الاعتماد المشروط، ويُعاد تفعيله بعد رفع الترخيص المجدد ومراجعته.
- لـ«مرمى» إيقاف الحساب أو إنهاؤه عند مخالفة هذه الشروط أو الأنظمة، أو تكرار الشكاوى، أو بطلب من جهة مختصة أو من ميسّر.
- للتاجر إنهاء العلاقة بإشعار مكتوب إلى support@difins.co بعد تنفيذ الطلبات القائمة.
7. البيانات والوثائق
تُحفظ وثائق التاجر بسرية ولا يطّلع عليها إلا فريق المراجعة، ويُسجَّل كل اطلاع. تفاصيل الاحتفاظ والحقوق في سياسة الخصوصية.
8. المسؤولية
التاجر مسؤول عن خدماته ومنتجاته ومنشآته وسلامة المستخدمين فيها، وعن صحة تراخيصه. «مرمى» وسيط تقني ولا يتحمل مسؤولية ما يقدّمه التاجر، في الحدود التي يسمح بها النظام.
9. النظام والتعديلات
تخضع هذه الشروط لأنظمة المملكة العربية السعودية. ننشر أي تعديل هنا مع رقم إصدار جديد، ويُطلب من التاجر قبوله في التطبيق قبل أي طلب جديد.
Merchant terms
Parties. Marma is an online platform run by Takamel Albayanat Company for Financial Technology (DIFins.co), CR 1009169104. A merchant is a business approved through the in-app application.
Eligibility and verification. An active commercial registration covering the activity (or a valid freelance document, stores only) and a bank account in the business's own name. Pitches and academies need a valid Ministry of Sport licence under the Sports Law (Royal Decree M/121, in force since 11 June 2026), and pitches a municipal licence. During the statutory transition period a merchant may be approved conditionally until the date shown in the app; the account is suspended automatically if the licence is not provided by then. Marma verifies the details and documents with the official sources and may approve, ask for changes or reject with reasons. Merchants confirm their information is true and tell Marma within 7 days of any change or of any licence expiring or being suspended.
Payments and commission. Payments go through Moyasar, licensed by the Saudi Central Bank, and are split at payment: the merchant's share is settled directly to the merchant, Marma's commission to Marma; Marma never holds the merchant's money. The commission is a percentage per transaction set at approval (5% by default), VAT included where applicable, with an e-invoice from Marma. For store orders the customer pays shipping, which goes to Marma to cover the carrier (OTO). Prepaid only, no cash on delivery. Merchants accept Moyasar's platform terms and agree to share their details and documents with Moyasar for verification and settlement. Refunds return the merchant share and the commission in proportion unless agreed otherwise.
Obligations. Deliver as described at the advertised price including VAT. Pitches and academies follow the Sports Law and the Ministry's facility rules (safety, first aid, CCTV, licensed coaches only). Academies enrol no one under 18 without written guardian consent and apply a safeguarding policy with background checks. Stores sell genuine products only, no counterfeits or unlicensed club marks, no unregistered supplements or medical products (SFDA), and honour the 7-day right of return under the E-commerce Law except legally excluded items. Use customer data only to fulfil orders, protect it under the PDPL, and report any breach to Marma at once.
What buyers see. The legal name, unified number (or freelance document number), VAT number, e-store authentication number if any, and the return policy. Signatory and bank details are never shown.
Suspension and termination. Automatic suspension when a required licence or a conditional approval lapses, lifted once the renewed licence is reviewed. Marma may suspend or end an account for breach of these terms or the law, repeated complaints, or at the request of an authority or Moyasar. Merchants may leave by writing to support@difins.co once open orders are fulfilled.
Data, liability and law. Documents are private to the review team and every access is logged; see the privacy policy. Merchants are responsible for their services, products, premises, users' safety and licences; Marma is a technical intermediary to the extent the law allows. Saudi law governs. Changes are published here with a new version, which merchants accept in the app.
